Broker Terms

These Broker Terms govern your use of Dealflix — operated by Dealflix LLC, a Texas limited liability company — as a publishing broker. They apply in addition to our Terms of Service, Payment Terms and Privacy Policy. If they conflict on a broker-specific question, these terms control. You accept them when you tick the agreement box during onboarding, and again each time you publish.

1. Who may publish

You may publish on Dealflix only if you hold an active Texas real estate license (broker or salesperson) in good standing, or you are an authorized agent of the entity that does. You must give us your license number and keep it current. We verify licenses against public records and may suspend publishing if we cannot match yours or it lapses.

A salesperson publishes under the supervision of their sponsoring broker and is responsible for having that broker's permission to do so. Dealflix is a technology platform, not a brokerage, not your sponsoring broker, and not a party to any transaction you source, negotiate or close here.

2. Your listing authority

For every deal, space, comp or insight you publish, you represent that you have the right to market it: a current listing agreement, written authorization from the owner, or the owner's own capacity if you are the principal. You are solely responsible for holding that authority and for producing it if it is questioned.

Publishing a deal you are not authorized to market is the fastest way to lose your account. We remove content and terminate accounts for it without refund of any subscription already collected from your subscribers for the period in progress.

3. Accuracy, and who is answerable for it

Everything you publish — rents, sizes, expenses, occupancy, rent rolls, closed-comp figures, photos, site plans, track record and testimonials — is your content and your representation, not ours. We do not verify it. We do not appraise, underwrite, inspect or independently confirm any figure on this platform.

You will not publish figures you know to be wrong, photographs you do not have the right to use, or a track record you did not earn. Where a figure is an estimate, pro forma or broker's opinion, say so on the deal.

You are responsible for your own compliance with Texas Real Estate Commission advertising rules, including the requirement that your advertising identify the broker and not be misleading. Your Dealflix channel is advertising. We give you the fields to display your brokerage and license number; using them correctly is your obligation, not ours.

4. Tenant, owner and third-party information

Rent rolls and co-tenancy lists contain other people's business information. You represent that you may lawfully publish what you publish, and that you have any consent your listing agreement or your relationship with the tenant requires.

Dealflix gives you per-row controls to withhold a tenant's name. Whether a name may be published at all is your judgment and your responsibility. When you withhold a name, we do not publish it or the trade category attached to it — but you should not rely on withholding as a substitute for permission you never had.

5. Fees and what you keep

Publishing on Dealflix is free. We take a 20% platform fee on money buyers pay you through the platform — channel subscriptions and per-deal unlocks — and you keep 80%. The fee is calculated on the gross amount and taken at the time of the charge.

Payment processing fees charged by Stripe are deducted from our platform fee, not from your 80%. Your net is gross minus our 20%, and the figures shown to you in Payouts are the figures we pay.

We may change the platform fee on 30 days' notice to the email on your account. A change never applies to money already collected. If you do not accept a new fee, stop publishing and close your account before it takes effect.

6. Payouts

Payouts run through Stripe Connect. You must complete Stripe's onboarding — including the identity and bank verification Stripe requires — before we can pay you. Your relationship with Stripe is governed by the Stripe Connected Account Agreement, which you accept directly with Stripe.

We do not hold your money as a bank, we are not a fiduciary, and nothing here creates a trust or escrow. See the Payment Terms for refunds, chargebacks, disputes and tax reporting.

7. Commissions are yours to handle

Dealflix LLC holds no real estate licence and is not a brokerage. We take no part in real estate commissions: we do not share in them, split them, refer business for a fee, or hold ourselves out as entitled to any part of a transaction you close. You operate independently here — under your own licence, your own sponsoring broker, and your own supervision. Money moving through this platform is payment for access to information you publish — subscriptions and unlocks — not compensation for brokerage services.

Co-broke arrangements, referral agreements and commission splits with other brokers are between you and them. The co-broker features here are a convenience for coordinating, not an agreement drafted by us.

8. Confidentiality and NDAs

Dealflix can execute a mutual non-disclosure and non-circumvention agreement between you and a buyer when a gated deal is unlocked. That agreement is between you and the buyer. Dealflix is not a party to it, does not enforce it for you, and takes no responsibility for whether it is adequate for your deal.

You consent to signing electronically and to us storing the executed document. If the deal warrants your own NDA, use your own.

9. What you may not publish

No securities.Dealflix is for real property — sale listings, lease space, comps and market insight. You may not use it to offer, solicit or advertise an investment: no syndications, no limited-partnership or LLC membership interests, no fractional or co-ownership shares sold as an investment, no funds, no notes, and nothing else that pays a return earned by someone else's efforts. If what you want to publish would be a security under federal or Texas law, it does not belong here.

This is not a technicality. Offering securities brings registration and disclosure obligations on you, and platform liability on us, that neither of us has taken on. We remove such listings on sight and may close the account that posted them.

You also may not publish anything unlawful, anyone else's confidential information, content that infringes copyright — see our DMCA policy — or a deal that does not exist.

10. Your content, and what we may do with it

You keep ownership of everything you publish. You grant Dealflix a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt for display, and publicly display your content for the purpose of operating and promoting the platform and your channel on it — including in search results, social previews, marketing emails and generated posters and site plans.

The licence ends when you delete the content, except for copies we must keep for legal, security or backup reasons, and except for material already distributed to subscribers.

11. Suspension and termination

We may suspend or terminate publishing rights immediately if your licence lapses, you publish deals you cannot market, you misstate material facts, you circumvent the platform to avoid fees, or you use the platform to harass or defraud.

You may close your account at any time. Closing it does not refund subscription payments already collected from your subscribers for the current period, and does not cancel obligations already incurred.

12. Disclaimers and limits

The platform is provided "as is". We do not warrant that it will be uninterrupted, that a deal will sell, that a subscriber will convert, or that any figure another user publishes is true.

To the fullest extent Texas law allows, Dealflix is not liable for lost profits, lost commissions, lost deals or consequential damages, and our total liability to you for any claim is limited to the platform fees we collected from your transactions in the three months before the claim arose.

You will indemnify Dealflix against claims arising from what you publish, from your authority to market it, from your compliance with real estate law, and from your dealings with buyers, tenants, owners and other brokers.

13. Governing law

These terms are governed by the laws of the State of Texas, without regard to conflict of laws. Disputes are resolved under the arbitration section of the Terms of Service — individual arbitration seated in Houston, Harris County, Texas, with a 30-day opt-out and a small-claims carve-out. Where that section does not apply, venue is in Houston, Harris County, Texas.

14. Changes

We may update these terms. Material changes take effect 30 days after we post them and email the address on your account, and we record the version you accepted at onboarding. Continuing to publish after a change takes effect is acceptance of it.
